1. Agreement to Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you and Trinity Systems ("Company," "we," "us," or "our") concerning your access to and use of our website, software products, and services (collectively, the "Services").

By accessing or using our Services, you agree that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you are prohibited from using or accessing our Services.

2. Services Description

Trinity Systems provides enterprise resource planning (ERP) software solutions, including but not limited to:

  • Akira ERP for Schools - A comprehensive school management system
  • Custom ERP development services tailored to specific industries
  • Cloud infrastructure and hosting services
  • Software maintenance and technical support
  • Training and consultation services

3. User Accounts and Registration

To use certain features of our Services, you may be required to register for an account. When you register, you agree to:

  • Provide accurate, current, and complete information
  • Maintain and promptly update your registration information
  • Maintain the security of your password and account
  • Accept all responsibility for all activities that occur under your account
  • Immediately notify us of any unauthorized use of your account

We reserve the right to suspend or terminate your account if any information provided is found to be inaccurate, false, or misleading.

4. License and Intellectual Property

4.1 License Grant

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use our Services for your internal business purposes or educational institution operations.

4.2 Intellectual Property Rights

All content, features, and functionality of our Services, including but not limited to software code, designs, graphics, logos, and documentation, are owned by Trinity Systems and are protected by international copyright, trademark, patent, and other intellectual property laws.

You may not copy, modify, distribute, sell, or lease any part of our Services without our prior written consent.

5. Acceptable Use Policy

You agree not to use our Services to:

  • Violate any applicable laws or regulations
  • Infringe upon the intellectual property rights of others
  • Transmit any harmful code, viruses, or malware
  • Attempt to gain unauthorized access to our systems
  • Interfere with or disrupt the integrity or performance of our Services
  • Collect or harvest any personal information from other users
  • Use the Services for any illegal or unauthorized purpose
  • Impersonate any person or entity

6. Payment Terms

For paid Services:

  • All fees are quoted in Indian Rupees (INR) or as otherwise specified
  • Payment is due according to the payment schedule agreed upon in your service agreement
  • We accept payment via bank transfer, credit card, or other approved methods
  • Late payments may incur interest charges and/or service suspension
  • All fees are non-refundable except as required by law or as explicitly stated in your service agreement

We reserve the right to change our pricing with 30 days' notice to existing customers.

7. Service Level and Availability

While we strive to provide continuous and reliable service, we do not guarantee that our Services will be:

  • Available at all times or without interruption
  • Free from errors, bugs, or security vulnerabilities
  • Compatible with all hardware and software configurations

We reserve the right to modify, suspend, or discontinue any part of our Services with or without notice. Planned maintenance will be communicated in advance when possible.

8. Data and Privacy

Your use of our Services is also governed by our Privacy Policy. By using our Services, you consent to our collection and use of your personal information as described in our Privacy Policy.

You retain all rights to your data. We will not access, use, or disclose your data except as necessary to provide the Services, comply with legal obligations, or as authorized by you.

9. Limitation of Liability

To the maximum extent permitted by applicable law, Trinity Systems shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

  • Loss of profits, revenue, or data
  • Business interruption
  • Loss of goodwill or reputation
  • Cost of substitute services

Our total liability in any matter arising out of or related to these Terms shall not exceed the amount paid by you to Trinity Systems in the twelve (12) months preceding the event giving rise to liability.

10. Indemnification

You agree to indemnify, defend, and hold harmless Trinity Systems, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses arising out of or in any way connected with your access to or use of our Services, your violation of these Terms, or your violation of any third-party rights.

11. Termination

Either party may terminate the service agreement:

  • For convenience with 30 days' written notice
  • Immediately if the other party materially breaches these Terms
  • Immediately if the other party becomes insolvent or files for bankruptcy

Upon termination, your right to use the Services will immediately cease. We will provide reasonable assistance in data export within 30 days of termination.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions.

Any dispute arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the courts located in [Your City], India. The parties agree to first attempt to resolve any dispute through good-faith negotiations before pursuing legal action.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of any material changes by posting the updated Terms on our website and updating the "Last Updated" date. Your continued use of the Services after such changes constitutes your acceptance of the new Terms.

15. Refund Policy

Our refund policy for ERP systems and custom development services is as follows:

  • Subscription & Software Licensing: Fees paid for software licenses or monthly/annual subscriptions are generally non-refundable. Service is provided on a prepaid basis.
  • Custom Development Services: Refunds for custom development projects are handled based on the project milestones. Once a milestone is approved and work has commenced, the associated fees are non-refundable.
  • Initial Setup & Implementation: Fees for initial system setup, data migration, and training are non-refundable once the service has been initiated.
  • Exceptional Cases: If Trinity Systems fails to deliver the agreed-upon services as per the contract specifications, a partial or full refund may be considered at our sole discretion.

To request a refund review, please contact our support team within 15 days of the payment date.
